Prior Notification of a Proposed Transaction under the Telecommunications Merger and Acquisition Regulation

The TRA wishes to inform stakeholders that it has received a notification from Zain Bahrain of a proposed acquisition of Infonas under the Merger and Acquisition Regulation. Interested parties may submit their initial views within 14 days from the date of this notice.

  1. On March 2026, the Telecommunications Regulatory Authority (the “Authority”) received notification of a proposed transaction from Zain Bahrain B.S.C, a duly established company under the laws of the Kingdom of Bahrain bearing commercial registration number 50603, pursuant to Article 2 of the Telecommunications Merger and Acquisitions Regulation (the “Regulation”).
  2. Under the proposed transaction, Zain Bahrain B.S.C. intends to acquire 100% of the issued share capital of Infonas W.L.L. pursuant to a Share Purchase Agreement. The completion of the transaction is subject to the relevant regulatory approvals in the Kingdom of Bahrain and the satisfaction of the conditions set out in the Share Purchase Agreement.
  3. Infonas W.L.L. is currently owned by the following shareholders:

    • Class License for Internet Services
    • Individual License for National Fixed Services
    • Individual License for International Telecommunications Services
    • Individual License for International Telecommunications Facilities
  5. The Authority investigated the anticipated transaction by Zain Bahrain B.S.C. and found that the anticipated transaction could fall within the scope of the Regulation. However, the final decision on this point is reserved.
  6. The Authority invites interested third parties to submit any initial views on the impact that the anticipated transaction could have on competition in the telecommunications market in Bahrain to the Authority, along with supporting documentation and/or evidence (if any) within 14 days to LAD@tra.org.bh.
